Why We Are Taking Action Now

Kusuri No Aoki has experienced serious governance failures under the leadership of President Hironori Aoki and Vice President Takanori Aoki. Our concerns include self dealing through a large stock option issuance to President and Vice President Aoki at a 99.28% discount, inadequate transparency, and a lack of engagement with shareholders. These issues have contributed to Aoki’s underperformance compared to industry peers and unfair treatment for minority shareholders.

Our Proposed Solutions

Oasis is proposing essential reforms to strengthen governance and enhance oversight. We advocate for the removal of President and Vice President Aoki, vote against the Company’s proposed outside director candidate, Mr. Hiromitsu Fujii, and vote for the election of a truly independent, highly qualified outside director candidate, Mr. Yoshiaki Ikei. We also call for the establishment of a lead independent director and a nomination and compensation committee to bolster management oversight. Our proposed plan also introduces a new compensation plan for outside directors to align their interests with shareholders. If the Company and founding family do not take appropriate steps, Oasis may also consider all possible options, including legal action over the suspicious stock options.
